REGISTRARS

  • Who are NEX Group’s registrars and what do they do?
    NEX Group plc has appointed Capita Asset Services as its registrars. The registrars manage NEX Group’s share register on its behalf. They are responsible for ensuring all shareholder details are recorded accurately.

  • How can I get in touch with Capita?
    Please call the NEX Group shareholder helpline on 0371 664 0565 (calls cost 12p per minute plus your phone company's access charge). Lines are open Monday to Friday (excluding public holidays) from 9.00am to 5.30pm, UK time.

  • How do I inform you of my change of address?
    If you have registered on the NEX Group shareholder portal, please visit www.nex-shares.com to manage your address details online.

    Alternatively, please call the NEX Group shareholder helpline on 0371 664 0565 or write to Capita giving your previous address and quoting your investor code which can be found on your NEX Group plc share certificate or dividend confirmation. Capita’s correspondence address is listed above.

  • How do I inform you of my change of name?
    Please write to Capita enclosing a copy of your marriage certificate or change of name deed as evidence of your name change. Capita’s correspondence address is listed above.

  • How do I check a shareholding?
    If you have registered on the NEX Group shareholder portal, please visit www.nex-shares.com to view your current shareholding(s) online. You will need your investor code which can be found on your NEX Group plc share certificate or dividend confirmation.

DIVIDENDS

  • What are dividends and when do I receive them?
    Dividends are payments that a company pays to you as a shareholder. A dividend is paid for each share, so the amount you receive depends on the number of shares you own. To receive the dividend, your name must be on the share register on the relevant dividend record date.

    If the shares are sold before the ex-dividend date or purchased after it, you will not be entitled to that dividend. Subject to shareholder approval, NEX Group dividends are normally paid twice a year in July and February.

  • Can I have dividends paid direct to my UK bank/building society account?
    Yes, dividends can be paid direct to your account with a dividend confirmation sent to your registered address. Please call the NEX Group shareholder helpline on 0371 664 0565 to request a dividend mandate form or visit www.nex-shares.com to register for this service.

  • Can I take my dividend in shares?
    Yes, you can request that your cash dividends are reinvested in NEX Group plc shares via a Dividend Re-Investment Plan (DRIP). Please call the NEX Group shareholder helpline on 0371 664 0565 for further information or visit www.nex-shares.com to register for this service.

  • I haven’t received my last dividend cheque. Who should I contact?
    Please call the NEX Group shareholder helpline on 0371 664 0565. Capita will investigate the reason for non-receipt.

  • My dividend cheque is out-of-date. What do I do?
    You should return your cheque to Capita in order for it to be replaced. Please note that NEX Group plc dividend cheques are valid for 12 months from the date of issue. Capita may charge a fee for re-issue.

ICAP

  • I used to own shares in ICAP plc. Do they still exist?
    No, ICAP plc shares were converted to NEX Group plc shares on 15 December 2016. If you have any queries about your holding of ICAP plc shares prior to the scheme of arrangement, please call the NEX Group plc shareholder helpline on 0371 664 0565.

  • Is my ICAP plc share certificate still valid?
    No, ICAP plc share certificates were replaced with NEX Group plc share certificates following completion of the ICAP / Tullett Prebon transaction. ICAP plc share certificates are no longer valid and should be destroyed.

  • Why do I own shares in TP ICAP plc?
    As part of the ICAP / Tullett Prebon transaction, NEX Group plc shareholders were issued with TP ICAP plc shares. If you have any queries in relation to your holding of TP ICAP plc shares, please contact the TP ICAP plc share registrars. Their details can be found on the TP ICAP website: www.tpicap.com.

TRANSFER OF SHARES

  • I want to gift my shares to someone. How do I go about it?
    If you hold your NEX Group plc shares in certificated form, you should complete a stock transfer form and return it to Capita with your share certificate(s). A stock transfer form (and supplementary guidance notes) can be requested by calling the NEX Group shareholder helpline on 0371 664 0565.

    Alternatively, both documents are available to download from the Capita website www.capitaassetservices.com.

  • I want to gift my shares to charity. How do I go about it?
    Shareholders with a small number of shares, the value of which makes it uneconomic to sell them, may wish to consider donating their shares to charity through ShareGift. ShareGift is a registered charity administered by The Orr Mackintosh Foundation. Further information about ShareGift is available at www.sharegift.org or by calling 020 7930 3737.

  • What should I do if a shareholder has passed away?
    Please write to Capita, sending a certified copy of the death certificate, together with the original Grant of Probate (or a sealed office copy), or the Letters of Administration. Alternatively, please call the NEX Group shareholder helpline on 0371 664 0565 and speak with an agent directly to discuss the steps required.

SHARE CERTIFICATES

  • What are share certificates?
    Share certificates are evidence of your ownership of shares in NEX Group plc and so should be kept in a safe place. When you first acquire shares in NEX Group plc you are given a unique investor code shown on your share certificate.

    This should be quoted in all correspondence with Capita. If you buy more shares, these will be added to your existing account as long as your name and address details exactly match those currently held by Capita. Share certificates are posted to shareholders at your risk (if lost you will be charged for a replacement, please see below).

  • I have lost my share certificate. What should I do?
    If you have lost your share certificate(s) or have had your certificate(s) stolen or destroyed, please inform Capita by calling the NEX Group shareholder helpline on 0371 664 0565. You will be sent a letter of indemnity to sign and return. A new certificate will then be sent to you. Please note that there is a charge for this service.

ADR PROGRAM

  • Does NEX Group plc have an ADR program?
    Yes, NEX Group plc has a Level 1 American Depositary Receipt (ADR) program. The Bank of New York Mellon Corporation acts as the depositary bank for the program. NEX Group’s ADRs trade on the over-the-counter market under the symbol “NEXGY” and its CUSIP number is 65342A206. Each ADR represents two ordinary shares.

SHARE FRAUD

  • I have received an unsolicited investment opportunity in respect of my NEX Group plc shares. What should I do?
    You should be wary of any unsolicited investment advice or offers to buy or sell NEX Group plc shares on very favourable terms. If you suspect you have been approached by fraudsters, please notify the FCA by calling 0800 111 6768 or using the share fraud reporting form on the FCA’s website at www.fca.org.uk/scams.
